The Buyer agrees to buy and the Seller agrees to sell the following products (the “Product”) from the Signature Date of this Contract to [please insert date] (“Contract Period”).

The Parties acknowledge that the Product is subject to the approval of the Chinses government for export. The Seller shall be responsible for the package and mark printing.

All Product under this Contract shall be packed in a proper way suitable for long distance sea transportation, well protected against dampness, moisture, rough handling and other damages and deterioration during transport.

本合同规定的所有产品应妥善包装，适合远距离海上运输，保护其在运输过程中免受潮湿、湿润、操作不当和其他损坏和变质。

Each packed delivery item under this Contract shall be printed with the following marks:

Marks shall be printed in English on both sides of each package with waterproof paint, and shall be indicated in shipping documents.

Based on the nature of the products, supplementary signs in English shall be painted: “upward”, “water-proof”, “no inversion”, “center of gravity”, “lifting position” or other markings.

Each package shall have corresponding lead seal and part number.

Shipment and Transportation 发运与运输

The Seller shall deliver the Product to [Please insert the place of delivery] within [•] days after receiving [•].

The Seller shall give the Shipping Notice to the Buyer no later than [•] calendar days before the date of shipment. The Shipping Notice shall contain the information of Contract No., name of product, quantity, date of shipment, attached with packing list and commercial invoice.

卖方应在不晚于装运日的[•]个日历日前向买方发出发运通知。发运通知应包含合同编号、产品名称、数量、装运日期等信息，并附装箱单和商业发票。

The Buyer shall be responsible for determining the carrier and handling the international shipment insurance within [•] days after receiving the notice of the expected date of shipment from the Seller. The Seller shall not be liable for any delay of delivery resulting from Buyer’s failure to determine the carrier and handle the international shipment insurance in time. Buyer shall indemnify Seller for any losses it suffers as a result of Buyer’s failure.

买方应在接到卖方预计发运日期通知后[•]日内，负责确定承运商，办理国际货运保险。如因买方未能及时确定承运商或办理国际货运保险导致交货延误，卖方不承担任何责任，且买方应当赔偿卖方因此造成的相关损失。

Customs Clearance 出口清关

The Buyer shall undertake the responsibility of customs clearance of the Product including obtaining all import permits or licenses required for the Product importation if any, declaring the importation by its name, paying import duties and all relevant taxes levied in [Please insert the destination country] with or without tax exemption. The Seller is responsible to provide relevant shipping documents and give necessary assistance to the Buyer.

买方应承担产品的清关责任，包括获取产品进口所需的所有进口许可证或许可证（如果有），以其名称申报进口，支付进口关税和[请输入目的地国家]征收的所有相关税款，无论是否免税。卖方负责提供相关的运输文件，并给予买方必要的协助。

End User and Product Usage 最终用户及产品用途

Information with respect to the end user and product usage is provided by Buyer and recorded in Appendix X hereto. Buyer warrants the authenticity and accuracy of all information in Appendix X and undertakes to indemnify the Seller for any losses or damage it suffers resulting from or in connection with the inaccuracy, incompletion or misleading of those information, including but not limited to any administrative punishment suffered by the Seller.

本合同项下商品的最终用户和使用用途信息由买方提供，并记录在本合同附件X中。买方保证附件X中所有信息的真实性和准确性，并承诺赔偿任何因任何信息不准确、不完整或有误导性而给卖方造成的一切损失，包括但不限于卖方可能遭受的任何行政处罚。
