答辩人与被答辩人房屋租赁纠纷一案，现根据《^民事诉讼法》第一百一十三条之规定，答辩如下：

一、本案讼争的关键在于答辩人向被答辩人所缴付的资产押金的性质问题。

1、被答辩人诉称“人民币100万元的押金属于有形财产押金，被答辩人的履约行为并未造成答辩人其它有形财产的损失，而且，双方也没有将该100万元约定为定金性质的金钱质，因此，答辩人应该将财产押金100万元退还被答辩人”的说法是错误的。

根据x4年2月31日，答辩人(出租方)、被答辩人(承租方)及出租代理深圳 物业管理有限公司三方签订的《房屋租赁合同》(以下简称“合同”，见附件一)第五条“保证金及押金”条款第4项“承租方在签署本合同时，对租赁区内所有资产(以三方签字认可的清单或影像资料为准)向出租方缴付资产押金(以下简称‘押金’)计人民币壹佰万元整(含煤气押金伍万元整)”;第5项“在本合同期满时，则出租方应在承租方完全撤出租赁区并全部履行本合同各项条款规定后三十日内将保证金、押金不计利息返还给承租方”;第6项“双方一致同意保证金及押金不可抵作租赁期内任何时间所拖欠的租金、管理费及其它应缴费用”;以及“合同”第八条“违约责任”条款第1项“在本合同的五年租赁期内，合同三方均不得借故提前解除本合同。否则追究违约方的违约责任。如承租方无法继续履行本合同，需提前六个月书面通知出租方，承租方缴付的保证金及押金归出租方所有，且租赁区的所有动产及不动产当归出租方所有”;第3项“如承租方拖欠租金或其它应缴费用，出租方按每日千分之三的标准向承租方收取所欠费用的滞纳金”，“若承租方欠费超过三十天，出租方可视为承租方违约及其单方面终止合同，承租方缴付的保证金及押金归出租方所有”等规定可知，被答辩人按照合同约定向答辩人缴付的资产押金虽然也是属于非定金性质金钱质的一种，但根据双方当事人在合同中的约定，在被答辩人违约的情况下，上述资产押金就同时具有违约金的性质，作为对被答辩人出现违约行为的一种处罚。而并非如被答辩人所讲的仅仅只是一种“有形财产押金”。

根据“合同”关于“租期”的规定“租期五年，从 年 月10日起至 年 月10日止”;以及“合同”第八条违约责任条款之规定，对于被答辩人于x2年7月单方面终止合同，迁出租赁区并拖欠答辩人各项应交费用的违约行为，答辩人当然有权按照合同约定没收其已缴保证金及资产押金等作为违约金处罚。

2、至于被答辩人主张其“履约行为并未造成答辩人其它有形财产的损失”则纯属错误理解了在被答辩人违反合同约定的前提下上述资产押金的性质。答辩人没收被答辩人资产押金的行为不仅符合合同的约定，同时也符合我国法律的相关规定，根据《^合同法》第一百一十三条规定“当事人一方不履行合同义务或者履行合同义务不符合约定，给对方造成损失的，损失赔偿额应相当于因违约所造成的损失，包括合同履行后可以获得的利益，但不得超过违反合同一方订立合同时预见到或者应当预见到的因违反合同可能造成的损失”。被答辩人提前退租，单方面终止合同的行为，使答辩人的租赁房产处于闲置状态，而且这种闲置状态所持续的时间也是不确定的，因此与在“合同”剩余履行期限内答辩人可以获得的租金收益相比较，没收被答辩人所缴押金、保证金作为违约赔偿，当然是既合法又合理。同时，在“合同”的违约责任条款中已经对被答辩人提前退租的行为会导致没收押金、保证金的违约处罚作出了明确的约定，被答辩人在签署“合同”时就已经能够预见到其违约行为会造成这样的损失。因此当“合同”约定的违约事实出现的时候，按照合同约定进行违约处罚也就是法律所允许和受法律保护的。

二、被答辩人缴付资产押金的数额。

虽然双方在“合同”第五条第4项中约定资产押金为人民币100万元(含煤气押金5万元整)，但是，根据原合同三方就资产押金事宜所签订的《补充协议》(见附件十五)，第一条“现答辩人同意将资产押金降至人民币80万元整，5万元人民币作为被答辩人煤气开户押金，由被答辩人自行办理煤气开户手续”规定，答辩人实际只收取了被答辩人资产押金80万元(见附件十六)，另外的5万元煤气开户押金是由被答辩人自行向煤气公司办理煤气开户时所缴纳，系被答辩人与煤气公司之间的另一合同关系，与答辩人无涉，也就不存在要求答辩人返还的问题。

三、被答辩人在履行“合同”的过程中不仅存在单方面终止合同，提前退租的违约行为，而且没有履行“合同”第八条第1项所规定的提前解除合同需提前六个月书面通知的义务，并且从 年 月 日起开始拖欠答辩人租金、管理费、水电费等各项费用，至今未曾缴纳，造成答辩人重大经济损失。

X年X月X日，被答辩人向租赁代理“ 物业”提出中止与答辩人广场的房屋租赁协议，原租赁协议至X年 X月X日截止(见附件五)。“物业”接函后于X年X月X日向被答辩人回函，对被答辩人“要求提前终止合同深表遗憾”，并表示“将严格依照有关合同办理”(见附件六)。被答辩人随后又于 年 月 日向“中万物业”来函要求继续租用答辩人场地，并希望协商将租赁费固定在每月港币拾万元(见附件七)， 月 日又再次盖章确认(见附件八)。由此可知，被答辩人在 年 月仍表示要续继租用答辩人场地，又何来其起诉状中诉称“租赁期限截止至 年 月 日”一说。

但是，被答辩人在提出续租的要求前后，并未继续履行自己应尽的合同义务，从 年 月 日起开始拖欠答辩人房屋租金、管理费、空调费、水电费、维修费、停车卡费等各项费用，并于 年 月 日停止营业，全体人员撤离租赁区，且未与答辩人办理租赁区移交手续。答辩人于 年 月 日向被答辩人发出催款函(见附件九)，告知其欠费天数及金额，并告知如其未于 年 月 日前缴清欠费，则须按合同规定承担相应违约责任。但是被答辩人依然置之不理，即便算至 年 月 日，被答辩人拖欠答辩人费用也已达34天(见附件十)，严重违反了“合同”第八条第3项之规定，答辩人遂于当日向被答辩人发出《关于收回租赁区的通知》(见附件十一)，要求被答辩人应在接到本通知十日内将租赁区交还答辩人，并于 年 月 日前到工商行政管理部门完成注销手续，答辩人将按合同规定继续计租至被答辩人完成上述手续。

其后，被答辩人仍未向答辩人交纳任何所欠费用，答辩人于 年 月 日收回了租赁房产。至 年 月，被答辩人已拖欠答辩人租金、管理费、空调费、空调加时费、水电费、维修费、停车卡费、滞纳金、补偿金、补交优惠期租金、公证费、审计费等各项费用共计港币 元，人民币 元(见附件十二);同时，答辩人收回租赁房产时，经公证处、派出所、会计师事务所三方到场清点，证实缺少部份资产，估价为人民币 元(见附件十三);被答辩人曾对租赁区内原装修进行改动，根据《房屋租赁合同》第八条之约定，被答辩人须重新恢复原状，恢复费用约为人民币 元(见附件十四)。答辩人对于上述正向贵院提起诉讼。

答辩人认为，合同一经签订，双方当事人均应严格遵守。在被答辩人违反合同约定，提前退租、单方面终止合同的前提下，被答辩人缴付给答辩人的资产押金就同时具有了违约金的性质，被答辩人当然有权按照合同约定没收上述资产押金，以赔偿被答辩人的违约行为给答辩人所造成的损失。同时，被答辩人拖欠答辩人租金等各项费用的行为，亦构成违约，理应同时承担还款的法律责任。因此被答辩人诉请返还资产押金的请求缺乏事实和法律依据,依法应予以驳回;而答辩人循法律途径对被答辩人的各项违约行为进行追偿之诉讼请求理当受法律的支持!
